Definitions
Buyer means the person who buys or agrees to buy the goods from the Seller.
Conditions means the terms and conditions of sale set out in this
document and any special
terms and conditions agreed in writing by the Seller.
Delivery Date means the date specified by the Seller when the goods are to be delivered.
Goods means the articles which the Buyer agrees to buy from the
Seller.
Price means the price for the Goods excluding carriage, packaging,
insurance and VAT.
Seller means W & C Stock T/A Woodstock, 30 Warrington Road, Lower Ince, Wigan, WN3 4JL.

Conditions Applicable
These Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer to the exclusion of all other Terms and Conditions.
Any variation to these Conditions (including any special Terms and
Conditions agreed by the parties) shall be inapplicable unless agreed in writing by the Seller.

The Order, Price and Payment
3.1 The Buyer shall print off an order form together with the Conditions of Sale and fax or post an order to the
the Seller.
The order form must be signed by the Buyer. The Buyer’s signature
confirms the Buyer has read and agreed to the Conditions.
If the Seller elects to accept an order the Seller will confirm the
order in writing to the Buyer together with a proposed Delivery Date and receipt for payment made within seven days of the Seller receiving the order.
Payment should be made at the time of ordering. Payment shall be due before the Delivery Date by cleared funds and the time for payment shall be of the essence. The Seller shall not be bound to deliver the Goods until the Buyer has paid for them.
The Price is exclusive of VAT which shall be due at the rate ruling on the date of VAT invoice.
The Seller shall not be liable for any extra costs incurred by the Buyer as a result of incorrect measurements or specifications of the Goods which have been specified, provided and ordered by the Buyer.
All Goods are subject to availability and the price may vary from time to time. The Seller will not be liable for any inaccuracies on the website or in the catalogue which result
in any loss to the Buyer.

The Goods
The quantity and description of the Goods shall be set out in the order form.
Minor surface inclusions are a nature of the product and the Buyer shall not be entitled to treat goods with minor surface inclusions as defective, damaged or unfit for their purpose.
Where the Goods are made to order to the Buyer’s specifications the Buyer shall not be entitled to cancel the order at any time after it has been accepted by the Seller. Goods made to order to the Buyer’s specifications are non-returnable and non-refundable.
Where Goods are not made to order in accordance with Clause 4.3 above the Buyer has a right pursuant to The Consumer Protection (Distance Selling) Regulations 2000 to cancel the order for a period of seven working days beginning with the day after the day on which the Buyer receives the Goods.
Where the Buyer elects to cancel pursuant to Clause 4.4 above the Buyer must notify the Seller in the time period specified and return the Goods to the Seller in the same condition as they were received by the Buyer within ten days from the date the Buyer received the Goods. The Buyer shall be liable for the cost to return the Goods to the Seller.

Delivery of the Goods
The Delivery Date shall be the Delivery Date specified by the Seller.
The Delivery Date is not of the essence of this contract.
The Seller shall not be liable for any loss or damage whatever due to failure by the Seller to deliver the Goods (or any of them) promptly or at all.
Not withstanding that the Seller may have delayed or failed to deliver the Goods (or any of them) promptly the Buyer shall be bound to accept delivery and is not entitled to reject the Goods provided that delivery shall be tendered at any time within thirty days beginning with the day the Buyer sent his order to the
Seller.
Delivery of the Goods shall be made to the Buyer’s address but the point of delivery shall be the nearest suitable and reasonable off load point for any heavy goods vehicle.
The Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery. The Seller reserves the right to invoice the Buyer for additional delivery charges where the Buyer has failed to take delivery of the Goods on the Delivery Date.

Acceptance of the Goods
The Buyer shall be deemed to have accepted the Goods 48 hours after delivery to the Buyer subject to
Clause 6.3.
The Buyer must thoroughly inspect the Goods for defects, damage, correct quantities and failure to comply
with description or sample within 48 hours after delivery to the
Buyer.
Where the Buyer acts in a manner consistent with ownership of any of the goods, the Buyer shall be
deemed to have accepted all of the Goods placed in the order by the Buyer.
After acceptance the Buyer shall not be entitled to reject Goods which are not in accordance with the contract.
If the Goods are not in accordance with the contract for any reason the buyers sole remedy shall be limited to the seller making good any shortage.
The sellers liability to the buyer whether for breach of contract or
otherwise shall not in any event.
All warranties and conditions whether implied by statute or otherwise are excluded from this contract provided that nothing in this contract shall restrict or exclude liability for death or personal injury caused by the negligence of the Seller or affect the statutory rights of the Buyer dealing as the consumer.

Title and risk
7.1 Title shall pass on the delivery of the Goods.
7.2 Risk shall pass on delivery of the Goods.

Intellectual Property
The specifications and designs of the Goods (including the copyright, design right or other intellectual property in them) shall as between the parties be the property of the Seller. Where any designs or specifications have been supplied by the Buyer for manufacture by or to the order of the Seller then the Buyer warrants that the use of those designs or specifications for the manufacture, processing, assembly, or supply of the Goods shall not infringe the rights of any third party.

Applicable Law
This contract is subject the Law of England and Wales.

Statutory Rights
Non of the above Terms and Conditions set out in this document shall affect the statutory rights of the Buyer dealing as a consumer.

Care and Installation Instructions
Water and steam should not be allowed to accumulate on the Goods. Any moisture on the Goods should
be wiped off immediately. Accumulation of water and steam can occur in areas surrounding sinks, kettles,
toasters and other appliances.
The Goods should only ever be washed with warm soapy water using non abrasive cleaners. The Goods should be dried off immediately.
The Goods should only ever be exposed to a maximum temperature of up to 90°C. Heat in excess of this may be given out from a cooker or oven due to a degenerated heat seal. The Seller recommends, unless a new oven or cooker has been installed immediately before the Goods are installed, that the oven or cooker seals are tested or replaced.
Units should be at least 700 millimetres above the hob.
Seller recommends that all Goods are installed by competent joiner / fitter who follows relevant health and safety regulations.
The Seller shall not be liable to replace the Goods or compensate or refund the Buyer for any loss or damage caused by the Buyer not acting in accordance with the Seller’s recommended care installation instructions detailed above in Clause 11.1 to 11.5.
